License Agreement

The concept of this License Agreement implies acceptance of the concept of the owner of the Product, which is addressed to any individual or legal entity, that is, the user. This concept comes into effect when both parties accept all the terms of this agreement, fully agree with them, and are ready to cooperate and work on the specified conditions.

Before purchasing the software, the client must carefully study all the features and information specified in the relevant document. The possibility of obtaining the right to use the software can only be after the client has accepted all the rules and conditions specified in the relevant document (agreement).

Definitions

The license holder is an individual entrepreneur Y.V. Grushko. (ITN 3477403437), which owns all rights to the license.

Software is a product of intellectual work that contains a certain number of codes. With their help you can solve a number of tasks and functions. They can be aimed at both the functionality and appearance of the product.

A license is the right to use software by the owner of the product, which is transferred by the license owner based on the terms of the signed agreement.

Offer – a valid Agreement, which is posted on the Internet, and is a public offer of the license holder. It is concluded on the basis of acceptance of the terms of the Agreement. The terms of the agreement are standard between the license holder and all product owners.

Acceptance is the provision by the owner of the product of consent to the presented terms of the Agreement. The license owner’s offer is considered concluded from the moment the owner of the product pays and receives the rights to use the software.

Subject of the agreement

The subject of this Agreement is the direct transfer by the license owner of non-exclusive rights to use the software to the product owner on the basis of a standard license. This happens on the basis of providing software, in return receiving a certain payment.

This agreement comes into force at the time of full payment under the terms and conditions specified in the Agreement.

The software is developed using the following programming languages: PHP, PYTHON, HTML, JS, CSS. Regarding the list of sections, modules, technical capabilities and functions of the software, it directly depends on the name of the software chosen by the product owner. The product version listed in its documentation also affects this.

The product owner has no right to transfer the rights to use the software to third parties.

In any case, the license owner retains all rights to the software.

The license granted on the basis of this Agreement is considered non-exclusive (simple), non-transferable and personal. The license owner retains the full right to provide the software to other persons on the basis of a similar Agreement.

Software types

Simple

The software product is sold as a one-time payment at the time of purchase and does not have an product key or expiration date. The buyer installs and configures the product himself.

Trial

The software product is provided free of charge with an product key valid for one month. The software product cannot be reused. The server part is installed by the Seller free of charge on the Seller’s servers.

Regular

The software product is provided as a one-time payment at the time of purchase with an product key valid for one year. It is possible to continue the use of the product for the next year upon repeated payment and receipt of the corresponding product key. The server part of the product is installed, configured, maintained and paid for by the Seller.

Individual

The software product is provided as a one-time payment at the time of purchase for an unlimited period. It is possible to reuse the software product an unlimited number of times. The customer receives the complete product, together with the backend, which he installs himself on a personal VPS/VDS server using the installation scripts provided.

Execution of the contract

The license owner undertakes to provide the software within two working days. The counting of days begins on the date of receipt of payment by the license owner to his bank account, or confirmation of payment by the product owner.

The owner of the product has the right to use the software only under the conditions and methods provided for in the Agreement and to comply with all restrictions determined by the License.

Rights and obligations of the parties

During the license period, the Product Owner undertakes to:

not make modifications to the software source code;

not transfer the license and software to third parties;

not publish the software and license in full or in part to third parties;

not sell, rent, lease or lend the license or software.

During the validity period of the signed agreement, the license holder undertakes to provide consulting support via yvg.tech@gmail.com

Within one month of using the software after signing, the license holder undertakes to correct possible problems that are discovered by the owner of the product. This rule applies to those shortcomings that cause the inability to use the software or its individual components for their intended purpose.

The license holder provides technical support to the product owner for the entire duration of the contract after the product owner purchases the software, except for the Individual and Simple versions of the software, whose technical support ends one year after the purchase of the software..

The license owner has every right to adjust the cost of purchasing the software, having previously notified the product owner about this before signing the contract. Those contracts that were signed before the price policy changed cannot be changed in the cost of software.

Procedure for settlements and transfer of rights

To purchase a product on its license owner’s website, you need to place and pay for an order. In this case, the owner of the product transfers payment to the license owner (http://yvg.com.ua/).

Payment is made in full for the cost of the software product (100% of the contract amount), according to the account details of the license holder and the amount specified in the invoice by the license holder and provided to the product owner.

The license holder undertakes to transfer the software within two business days from the date of crediting of funds to the license holder’s bank account, or from the date of confirmation of payment by the product owner. The date of transfer of funds to the license holder’s current account is confirmed by an account statement.

If within ten days from the date of payment for the product the license owner does not provide the software, and a written complaint from the product owner was not received by the license owner to the email address yvg.tech@gmail.com, then it is considered that the software was transferred by the license owner in full and in accordance with the conditions specified in the contract.

Acceptance of payment for the opportunity to use the software can be accepted exclusively from individuals or legal entities and in the ways indicated on the web resource http://yvg.com.ua/.

Responsibility of the parties

For use or improper use of the signed Agreement, both parties are responsible.

The license holder does not compensate third parties for losses that arose in connection with the use and/or inability to use the software, disclosure of confidential information to third parties and other losses, including the lack of benefits from using the software.

Use of the software is at your own risk. The software is provided as is. The license owner assumes no responsibility, including whether the software meets the product owner’s objectives.

All presented materials and information together with the software can be used at your own peril and risk; after transfer of the software, the buyer is solely responsible, including for damage that may occur to third party computers, for loss of data or other harm.

Duration, modification and termination of the contract

This agreement comes into force from the moment it is signed by the parties. The contract expires according to the terms for which the software is purchased.

The parties may terminate the contract before the term of the contract by agreement of the two parties.

Either party may terminate the contract before the end of its term, and the license owner is not required to pay the cost of the software license.

The license holder has every right to change the terms of the contract in relation to existing agreements. At the same time, he is obliged to notify the product owner about this by printing a new agreement on the license owner’s website.

If the other party violates the terms of this agreement, the license holder has the right to terminate the agreement early and unilaterally.

Force majeure

Both parties may be released from liability for complete or partial failure to fulfill the obligations specified in this agreement if this occurred due to force majeure circumstances. These may be: DDoS attacks, fires, floods, earthquakes, sabotage, military actions or changes in the requirements of the current legislation of Ukraine, if these circumstances directly affected the fulfillment of obligations under this Agreement. In this case, the terms of the contract are extended exactly for the period during which the above-described circumstances were in effect.

If force majeure circumstances prevent the possibility of obtaining correct services within three months, then each party may terminate the contract unilaterally.

Final provisions

If any of the stated conditions are declared invalid or unenforceable by an administrative authority or competent authorities of a jurisdiction, this does not in any way affect the fulfillment of the other conditions described in this Agreement.

The terms of this agreement come into force and are fulfilled unless other terms are specified based on the agreement of both parties.

The license owner, at any stage of negotiations or discussion of the contract, may refuse to sign the contract and sell the software, and he is not obliged to explain the reason that prompted him to make such a decision.
